標準銷售條款及條件

Standard Terms and Conditions of Sale

客戶於「個耕野有限公司（個耕野。 THAT FARM.）」網站下單或簽署報價單，即代表明示同意及接受以下銷售條款之約束。任何與本條款相抵觸之客戶自訂條款，除非經我方事前書面明示同意，否則一律無效。

By placing an order on the website of That Farm Limited ("THAT FARM.") or signing a quotation, the client explicitly agrees to be bound by the following terms and conditions. Any derogation must be expressly agreed to in advance in writing by THAT FARM.

1. 訂單截止與物流排單 (Order Cut-off & Logistics)

1.1 每日接單截止時間為 16:00（香港時間）。凡於 16:00 前經 Odoo 系統確認之訂單，將進入翌日早晨之新鮮採摘與配送排單流程。16:00 後之訂單將自動順延至下一個工作天處理。
The daily order cut-off time is 16:00 (HKT). Orders confirmed before 16:00 will be scheduled for harvesting and delivery the following morning. Orders placed after 16:00 will be processed on the next business day.
1.2 常規配送時間為星期一至星期六，逢星期日休息。星期六確認之訂單將統一安排於星期一配送。
Standard deliveries are made Monday to Saturday. No delivery services are provided on Sundays. Orders confirmed on Saturday will be delivered on the following Monday.

2. 起訂門檻與配送行程 (MOQ & Delivery Schedule)

2.1 B2B 商業客戶：每次冷鏈送貨之最低起訂量為 25 包/盒，且單筆訂單總金額不得少於 HKD $300。未達此門檻之訂單，我方保留取消訂單或酌收額外冷鏈運費之權利。
B2B Clients: The minimum order quantity (MOQ) for cold-chain delivery is 25 packs/boxes, and the total invoice amount must not be less than HKD $300. THAT FARM. reserves the right to cancel orders or charge additional delivery fees for orders below this threshold.
2.2 配送區域限制：新界及九龍區之常規配送時間為星期一至五；港島區、東涌之專車配送為星期六。本服務暫不適用於任何管制區域、禁區及其他離島（包括愉景灣及大嶼山南部）。
Regional Schedule: New Territories & Kowloon (Mon-Fri); HK Island & Tung Chung (Sat). Delivery service is unavailable for any regulatory areas, restricted zones, or outlying islands (including Discovery Bay and South Lantau Island).

3. 付款條款與延遲利息 (Payment Terms & Late Payment)

3.1 結算模式：除雙方另有書面月結協議外，所有常規訂單均採納貨到付款 (Cash on Delivery, COD) 模式。客戶須於收貨當日透過現金、支票或銀行即時轉賬（轉數快 FPS）全額支付。
Settlement: Unless otherwise agreed in writing for monthly billing, all deliveries are on a Cash on Delivery (COD) basis. Payment must be fully settled on the day of delivery via cash, cheque, or FPS.
3.2 逾期處置：若獲准延期付款之 B2B 客戶未能在發票所示之期限內清繳款項，THAT FARM. 保留對未償還金額暫停一切後續供貨服務之權利，並有權按月加收未償還金額 10% 的固定利息直至清繳為止。
Late Payment: If any approved credit payment is overdue, THAT FARM. reserves the right to suspend all subsequent delivery services without prior warning, and reserves the right to charge a fixed interest payment amounting to 10% per month of the remaining sum due.

4. 生鮮農產品驗收與客訴處理 (Acceptance & Claims for Perishables)

4.1 即時驗收：鑑於沙律生菜及新鮮水耕作物屬於易腐爛物品（賞味期有限），B2B 餐廳客戶（如主廚或廚房收貨人）或零售客戶必須在收貨時即場開箱清點及檢查產品質量。
Immediate Inspection: As salad greens and fresh hydroponic produce are highly perishable, clients must inspect the product quantity and quality immediately upon delivery.
4.2 投訴時效限制：任何關於漏發、品項錯誤或質量瑕疵之投訴，必須於收貨後 24 小時內，以 WhatsApp 訊息（連同瑕疵照片證明）通知我方。逾期（超過 24 小時）提出的任何索償、退款或補貨要求，我方一概不予受理。
Claim Window: Any claims regarding shortages, incorrect items, or quality defects must be submitted within 24 hours of delivery via WhatsApp with photographic evidence. No claims, returns, or refunds will be accepted after this 24-hour window.

5. 免責聲明與不可抗力 (Limitation of Liability & Force Majeure)

5.1 產量波動免責：THAT FARM. 承諾盡最大努力維持 20,000 呎溫室之產能穩定。唯水耕栽培易受極端微氣候等自然因素影響，我方對特定品種之「絕對按時按量供應」不作保證，亦不承擔因產量調整而導致客戶之任何間接商業損失。
Yield Fluctuations: THAT FARM. undertakes to do its best to maintain stable production. However, as hydroponic farming depends on micro-climate factors, our obligations cannot be considered as an absolute guarantee of result, and we shall not be liable for any indirect commercial loss.
5.2 惡劣天氣應變：當香港天文台懸掛八號或以上烈風或暴風信號、或黑色暴雨警告生效時，冷鏈物流將全面暫停。受影響之訂單將於信號除下後，由我方商務專員另行聯絡安排補送。
Force Majeure: Delivery will be suspended immediately when Typhoon Signal No. 8 or above is issued, or Black Rainstorm Warning is in effect. Overdue orders will be rescheduled after the lowering of such signals.

6. 管轄法律 (Governing Law)

本銷售合約及所有與之相關的商業關係，均受中華人民共和國香港特別行政區法律獨家管轄。
All contractual relations and sales will be governed exclusively by the laws of the Hong Kong Special Administrative Region.
